2. Company tells him to sit in the corner and shut up so he cant do anything. Sitting on the board also made it impossible to get more stock.
3. Clearly states they are unwilling to make changes in the company even with him as largest stock holder and on the board.
4. Now aims to buy whole company by offer specific $ for stock holders.
5. Makes it clear that if he cannot change the company there is no value in him being a stock holder.

Now that it is all done twitter has 2 problems.
1. They accept the offer and he cleans house and much of the power specific groups had with the censorship is gone. If successful after it would prove to be a better business model than they had before and companies like Facebook would most likely begin to change.
2. They deny the offer (and/or say another buyer) and he sells off his stock. Which will cause everyone else to sell off their stock in a hurry. Dropping it from $54 to most likely under $25 per share in 24 hours.
New possible owners will then re-work the purchase to new stock price and a fuck ton of remaining stock holders will be suing the shit out of everyone. Twitter itself would not survive the litigation fallout.

Well think about twitter's directors right now. If they deny the $54 and stock crashes to half that and they get sued by stock holders. They may be forced to sell the company then at that half price resulting in further lawsuits. He has them by the balls and they know it. They already started the no one own more than 15% stock play. Which with a publicly traded company will begin crashing a stock on Monday. Once stock hits sub 30s no one will make an offer anywhere near what Elon did.
