user, even in private companies, Boards of Directors exist and have responsibilities. Just because it’s not believable that the BOD would fire the CEO-owner doesn’t mean that they aren’t operating under different oversight.

Here’s an example case: suppose the CFO of Epic submits an annual budget with $2bn earmarked for buying EGS exclusivity, and $100m earmarked for Fortnite development. This budget will be submitted to the BoD for approval. Maybe Tencent doesn’t like this approach, and their two members move to reject the budget. Now, if ONE other person on that board also doesn’t like it, and says “no”, the budget goes back.

Sweeney can’t just override that decision as CEO, because it doesn’t work that way. Now, he CAN go before the board, move to dismiss the non-Tencent-appointed board member who dismissed the budget, remove him summarily from the company, and pick someone else who he feels more confident will authorize that budget, because as majority owner he can do that.

But WILL he? Over a budget? That’s a different question. Because at the end of the day, he controls who 3/5ths of the Board ARE, but that only provides indirect control over what they DO.

Of course, realistically, if his willingness to fire board members is well-known, it could be argued that the BoD will just rubberstamp anything he tells them to, for fear of being ousted. That may be how it works over at Epic. But in theory, at least, the point of the BoD is to check that sort of unilateral impulsive control.

They've only ever made knockoffs of better games, plus 1 (one) original title that introduced cinematic over the shoulder 3rd person cover shit that still plagues games to this day.

That isn’t how businesses are structured. Shareholders select a Board of Directors, who run the company. The BoD oversees major corporate decisions and delegates the rest of its responsibilities to the CEO/President, who is, strictly speaking, their highest-ranking employee.

Sweeney owns more than 50% of EGS; he can choose the members of the board. Well, except for two of them, who Tencent have gained the right to select. That is part of his role as OWNER.

But his role as OWNER is distinct from his role as CEO; this isn’t Tim Sweeney’s corner hardware, it’s a multinational corporation whose structure and bylaws are defined by various regulations. Regulations which are less stringent for private companies to be sure, but which nevertheless exist. Sweeney (the owner) selects the BOD, and the BOD in turn selects Sweeney to be CEO. He could be the owner and a janitor if he wanted; if he was the janitor, he’d still have a shift supervisor. Being the owner doesn’t change where his employee role exists within the corporate structure: answerable to the Board.

The Board is not shareholders. The Board’s decisionmaking is not weighted by shares. The board is a group of people selected BY the shareholders to run the company.
