I can't say it's effort or even execution. Illbleed is a piece of shit game and so is Deadly Premonition but they're both so fucking weird and insane I can't help but love them. I'd have to say passion and vision.

It's all about the art and inspiration behind it, ask yourself this, do you see the ost of the game being sung by an old blind black man in the 60s? If the answer is yes, it is soul.
Do you see the old blind black man of the 60s feeling inspired by the setting to make a song about it? If the answer is yes, again, it is soul.
Are the characters so good that the old blind man from the 60s has fallen for them more than he did for the white blondie that went to one of his concerts, he discovered that she is the heir to a family that had the family of that old black man as slaves but he did not care because his love was too powerful and not even the cries of his angry black brethren could sway him to stop singing about her? THEN AGAIN, it is soul.

It is a distinction that is not always apparent to those who aren't willing to see it.
But "soul" invokes a quality that it's creator was lovingly invested into it, while Soulless implies that a project was systematically thrown together by test groups and has less personality than it's counterpart. "Soulful" material often provides a nostalgic aura, even when you share no past with the material, and most often times provides an air of "comfort" and distinction. Soul also invokes imagery of a world you want to live in, it causes your imagination to picture a place where you could see yourself, even in a fantasy form. Soulless material makes you feel nothing, if not a bit of distaste.

people are already making nostalgia threads for mw2. which is a soulless shit game and I doubt people deny it. you can feel nostalgia to soulless games as well.
Everything can have soul, people just don't like it when a game is altered in a remaster or a patch and it loses the ambiance/atmosphere it originally had. It's kind of the reason why you never see anyone call an original game with no tie-ins soulless, because there is no standard of "soul" to compare it to, it exists on its own merits.
How can people not understand the meaning of the word 'soul'? I get that it's been turned into a meme but it takes 2 seconds to look up.
