Peter was trying to just get by with the responsibilities of being Spider-Man was piling on his worklife, while the love of his life was getting engaged to someone else. Then his powers suddenly disappear and he can focus on being Peter. Only to realize how someone needs to be there whenever a scientist goes mad and threatens the public. It has a good moral of putting others before yourself. Aunt May was a great shoulder for Peter and MJ looked to be trying to move on with her life, trying to forget about her failed romance with Peter. JJJ was great just being himself, and Harry's descent in the movie as a small part to foreshadow SM3 was done well while not getting in the way of SM2

Sony owns the Spider-Man movie rights out right. They bought them from Marvel decades ago when Marvel was selling those kinds of rights off in order to avoid bankruptcy. This being why Fox had the FF4 and X-Men movie rights. Sony only had to pay for the rights once and now owns them essentially in perpetuity. Presumably there was some kind of "have to keep using it" clause like with FF4, but Spider-Man was such a money maker they never needed to worry about it.
The deal for Tom Holland Spider-Man being attached to the MCU was more Disney wanting Spider-Man in the MCU and Sony completely fucking up their second attempt to make an ongoing Spider-Man movie franchise so they wanted the clout of the MCU to prop up another attempt. The Sony email leaks showed just how bafflingly out of touch they were around the second Garfield Spider-Man movie. It was only the widely publicized reveal of just how retarded they were being that pushed them to agree to Disney's deal. And now it looks like Sony's getting its head up its ass again and think they can just continue doing what they planned to do years ago.
